Introduction and Acceptance

These Terms and Conditions govern your access to and use of our website and all services, materials, sessions, systems, templates, documents, and deliverables offered by No Books University. We are a sole proprietorship carrying on business under the trade name No Books University, having our registered place of business at Airport road jaipur - 302029, India, holding GSTIN 08PPQPS3053P1ZL.

By accessing the website, submitting any form, making any payment, booking any session, or engaging our services in any manner, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Refund and Cancellation Policy, Performance Commitment, Disclaimer, Acceptable Use Policy, and Service Delivery Policy.

If you do not agree to these Terms, you must not use the website or purchase any service from us. These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require any physical or digital signature to be binding.

Eligibility

You may use the website and purchase our services only if you:

• Are at least 18 years of age.
• Are competent to contract under the Indian Contract Act, 1872.
• Are acting on behalf of a business, firm, company, or professional practice, and not as a consumer purchasing for personal, domestic, or household use.
• Have the authority to bind the business on whose behalf you are contracting.
• Are not barred from receiving our services under any applicable law, professional code of conduct, or regulation.

Our services are provided exclusively for business and commercial purposes. They are purchased to generate revenue, acquire customers, and improve commercial performance. You acknowledge and agree that any service purchased from us is availed for a commercial purpose.

We do not provide services to persons or firms registered with or regulated by the Bar Council of India, the Institute of Chartered Accountants of India, the Institute of Company Secretaries of India, the Controller General of Patents, Designs and Trade Marks, the Insurance Regulatory and Development Authority of India, or the Securities and Exchange Board of India, where the professional code applicable to such person restricts advertising or solicitation of clients. If you are so registered, you must disclose this before payment. Failure to do so is a material breach of these Terms. We also do not provide services in connection with real-money gaming, betting, gambling, or any activity prohibited under applicable Indian law.

Nature of Our Services

No Books University provides business advisory, guidance, and implementation-support services relating to customer acquisition. We work alongside a client's own personnel to help the client design, build, and operate systems within their own business for acquiring customers.

What we do:

• Assess your existing customer acquisition activity.
• Advise on structure, offer, pricing, messaging, and process.
• Guide your personnel in building campaigns, pages, sequences, scripts, and procedures within your own accounts.
• Review and provide feedback on work produced by your personnel.
• Provide templates, frameworks, procedures, and written materials for your internal use.

What we expressly do NOT do:

• We do not operate, manage, or run your advertising accounts as an agency.
• We do not create, publish, or place advertisements on your behalf.
• We do not make sales calls or handle enquiries on your behalf.
• We are not a marketing agency, media buying agency, or advertising agency.
• We do not provide legal, taxation, accounting, financial, investment, or medical advice of any kind.

You retain complete and sole control over your business. All decisions regarding advertising spend, offers, pricing, hiring, staffing, publication of content, and business operations are yours alone. We advise; you decide and act. We reserve the right to modify, improve, restructure, or discontinue any part of our services, methodology, materials, or delivery format at any time, provided that any change does not materially reduce the substance of what a paying client has contracted for.

No Guarantee of Results

We do not guarantee any specific revenue, income, profit, number of customers, number of leads, number of enquiries, cost per acquisition, return on advertising spend, or any other financial or commercial outcome. Outcomes from our services depend overwhelmingly on factors outside our control, including but not limited to the quality and price of your product, the effort and competence of your personnel, the amount of your advertising expenditure, your sales ability, delivery capacity, and competitive market conditions.

Any figures, results, case studies, examples, or testimonials shown on the website are illustrative only. They represent outcomes achieved by specific businesses in specific circumstances and are not a prediction or promise of what you will achieve.

Our commitment regarding performance is set out separately in the Performance Commitment, which forms part of these Terms. No employee or representative of No Books University has authority to make any promise, guarantee, or assurance of a specific result beyond what is written.

Booking, Payment, and GST

Session Fee: A one-to-one session with an acquisition expert is booked by payment through our payment gateway. Payment confirms the booking and reserves a slot in our calendar.

Installation Fee: Where a client proceeds to engage us for a full engagement, the fee is as quoted in writing and is payable in accordance with the payment schedule set out in the client's written agreement.

All fees are exclusive of Goods and Services Tax. GST at the applicable rate (currently 18%) is charged in addition and shown separately on every invoice. Payments are accepted only through our official payment gateway or through bank transfer to an account we specify in writing on our official letterhead or from an official email address.

Late Payment & Chargebacks: Where fees are payable in instalments and any instalment is not paid by its due date, we may suspend all services immediately and charge interest. If you initiate a chargeback or payment reversal through your bank in respect of any amount properly due, we reserve the right to suspend services, contest the chargeback with full documentary evidence, and recover all costs incurred in contesting it.

Your Obligations

The effectiveness of our services depends entirely on your participation. You agree to:

• Provide accurate, complete, and current information about your business.
• Grant and maintain the access we specify to your advertising accounts, CRM, analytics, and any other system reasonably required.
• Maintain the minimum monthly advertising expenditure agreed in writing.
• Procure and maintain all necessary third-party tools, subscriptions, accounts, and licences at your own cost.
• Appoint at least one named individual responsible for operating the system day to day.
• Attend or watch the recording of every scheduled working session.
• Implement and put into live operation the materials, campaigns, procedures, and systems developed during the engagement.
• Respond to our communications within a reasonable time and comply with all applicable laws and platform policies.

You are solely responsible for the legality of your own advertising, offers, claims, and business practices. Failure to meet these obligations will materially affect outcomes, and you may not claim underperformance under such circumstances.

Intellectual Property

All materials provided by us (including frameworks, methodologies, templates, scripts, checklists, standard operating procedures, dashboards, recordings, documents, presentations, worksheets, and written guidance) are and remain the exclusive intellectual property of No Books University.

Upon payment, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the materials solely for the internal business purposes of the specific business named in your agreement.

You must not:

• Copy, reproduce, distribute, publish, or make the materials available to any person outside your named business.
• Sell, resell, licence, or rent the materials.
• Use the materials to create, deliver, or market any competing service, programme, or consultancy offering.
• Teach, train, coach, or advise any third party using our materials or methodology.
• Record or transcribe any live session without our prior written consent.
• Remove or alter any proprietary notice, or share your access credentials.

You retain ownership of all content, data, and branding you supply to us. Campaigns and pages created within your accounts during the engagement are yours to use in your business without restriction, but the underlying frameworks and templates remain ours.

Testimonials, Case Studies, and Publicity

We may request permission to use your business name, logo, results, and feedback in our marketing. We will only do so with your prior written consent. Where you provide a testimonial, you confirm that it reflects your genuine and honest experience. If you withdraw consent, we will remove the material from any medium under our control within a reasonable period.

Confidentiality

Each party agrees to keep the other's confidential information secret, to use it only for the purposes of the engagement, and not to disclose it to any third party without prior written consent, except where disclosure is required by law. These obligations continue for three years after the engagement ends.

Non-Circumvention and Non-Solicitation

During the engagement and for twelve months afterwards, you agree not to directly or indirectly solicit for employment or engagement any employee, contractor, consultant, or associate of No Books University with whom you had contact through the engagement, without our prior written consent.

Third-Party Platforms and Services

Our services involve third-party platforms including advertising platforms, messaging services, payment gateways, and software. We are not responsible for the availability, performance, or policies of any third-party platform. You are responsible for your own compliance with their terms, and any rejection of advertisements or restriction of accounts by them is not a failure of our services.

Suspension and Termination

We may suspend or terminate your access and the services immediately, without refund, if you breach these Terms, fail to pay any amount when due, provide false information, share the materials unlawfully, behave abusively, or initiate a chargeback. You may terminate at any time by written notice, but this does not entitle you to a refund, and any unpaid instalments remain due. On termination, all licences are revoked, and you must cease using all our materials.

Limitation of Liability

Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence. Subject to this, our total aggregate liability to you arising out of or in connection with the services or these Terms shall not exceed the total amount actually paid by you to us in the twelve months preceding the claim. We shall have no liability for any loss of profit, revenue, business, data, wasted advertising expenditure, or any indirect or consequential loss.

Indemnity

You agree to indemnify and hold harmless No Books University and its associates against all claims, proceedings, damages, and costs arising out of your breach of these Terms, your advertising or business practices, your breach of any law or platform policy, or your handling of personal data.

Dispute Resolution

If a dispute arises, the parties will first attempt in good faith to resolve it by discussion for thirty days. Any dispute not resolved shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated in Jaipur, Rajasthan, India. The courts at Jaipur, Rajasthan shall have exclusive jurisdiction over any matter arising out of these Terms. These Terms are governed by the laws of India.

General

These Terms constitute the entire agreement between the parties. We may amend these Terms at any time by publishing an updated version on the website. Neither party is liable for failure or delay caused by events beyond its reasonable control (force majeure). Nothing creates a partnership or employment relationship between the parties.
